Nilesh Patel is a dedicated commercial real estate and hospitality attorney at MW Law. This unique upbringing has given him a deep understanding of the hotel and real estate industry, from both an operational and economic perspective.   • Represented a hotel investment group in the acquisition of a Texas hotel valued at over $30 million, navigating complex financing, title, and franchise-related issues.
  • Represented multiple ownership groups in the acquisition, financing, and disposition of limited-service and full-service hotels across Texas, Alabama, Ohio, and Kansas, including Hilton, Marriott, and IHG branded properties.
  • Achieved multi-million-dollar purchase price reductions in hotel and commercial real estate transactions in 2025 by uncovering seller misrepresentations and critical due diligence issues on behalf of buyers.
  • Advised sponsors and syndicators in structuring joint ventures, capital raises, and investor arrangements for hotel and mixed-use developments.
  • Represented investors in self-storage acquisitions and portfolio transactions, including negotiation of purchase and sale agreements, financing documents, and operational contracts.
  • Served as counsel to a land developer in the acquisition and disposition of raw land in master-planned communities, including drafting and negotiating restrictive covenants, development guidelines, and infrastructure agreements.
  • Represented buyers and sellers in multifamily transactions, including the disposition of stabilized apartment complexes and structuring of build-to-rent projects.
  • Negotiated and closed complex financing structures, including CMBS loans, agency loans, seller financing, mezzanine loans, and PACE financing for hotel and commercial real estate assets.
  • Counseled hospitality owners and operators in connection with management agreements, franchise agreements, and vendor contracts.
  • Served as counsel to the Texas Hotel & Lodging Association, the nation’s largest state hotel association with over 5,000 members, advising hoteliers and tourism professionals on legal, ownership, and hotel occupancy tax matters, and advocating at the Texas State Capitol for pro-business legislation and regulations.
